Terms of Service.

These Terms of Service (“Terms”) govern your access to and use of the Locum platform (“Locum”, “we”, “us”, or “our”), operated by ARISDY LIMITED (NZBN 9429053354464), a company registered in New Zealand, registered office at 24F Mount Smart Road, Royal Oak, Auckland, New Zealand.

By creating an account or otherwise using Locum, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. The service — what Locum is

Locum is a two-sided platform that helps:

  • Locums (employees / contractors) discover work, manage their schedule, store credentials, and generate invoices across multiple employers and sectors.
  • Employers (organisations) advertise shifts, review applicants, manage rosters, and run pre-shift briefings.

2. The service — what Locum is not

Locum is a bridge, not a mediator.

  • We connect locums and employers and we generate and deliver invoices on the locum's behalf.
  • We do not process payments between locums and employers. Locum-to-employer payments flow outside the platform, through the parties' own banking arrangements.
  • We do not mediate, arbitrate, or resolve disputes between locums and employers. No-shows, hour disagreements, quality complaints, payment disputes, and any other disagreements between the two parties are matters for the parties themselves to resolve.
  • We are not the locum's employer and we are not the employer's recruiter. The relationship between any locum and any employer is direct between them.

Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and us or between locums and Locum.

3. Eligibility & accounts

To create an account you must be at least 16 years of age, hold the professional registrations required by New Zealand law for the role you indicate (where applicable — for example, a current APC for pharmacists), and use a Google or Apple sign-in account that belongs to you.

You are responsible for activity that takes place under your account. Keep your sign-in credentials secure and notify us immediately if you suspect unauthorised access.

We may suspend or terminate accounts that violate these Terms, that we reasonably believe are operated for fraudulent purposes, or where we are required by law to do so.

4. Locum accounts — free

Use of Locum by locums is free. There is no fee for sign-up, profile, document management, job applications, calendar, notifications, or invoice generation and delivery.

5. Employer accounts — paid

Employer use is subject to a subscription plan (Solo, Branch, Group, or Enterprise) and a credit balance that funds shift posts. Plan features and pricing are shown on the Locum billing page and may change from time to time on at least 30 days' notice to existing subscribers.

Credits. One credit funds one shift slot (one date for a locum post; one position for a full-time or part-time post). Credits are granted on signup and on each monthly subscription renewal, and can be purchased as one-time top-up packs. Credits are denominated in shifts, not currency. Unused credits may roll over subject to the rollover cap configured for your plan.

Billing. Subscriptions auto-renew monthly until cancelled. You may cancel at any time via the Stripe Customer Portal; cancellation takes effect at the end of the current billing period, and credits already paid for remain usable until they expire under the normal rollover rules.

Refunds. We do not offer refunds for unused credits except where required by the New Zealand Consumer Guarantees Act 1993 or other applicable law. Top-up pack purchases are final once credits land in your balance.

Failed payments. If a payment fails, your subscription enters a past-due state and monthly credit grants are suspended until payment is successful. We will email you when this happens. If payment is not restored within Stripe's standard retry window, the subscription is cancelled.

6. Acceptable use

You agree not to:

  • Submit false, misleading, or out-of-date professional information (including registration numbers, qualifications, or scope-of-practice claims).
  • Use Locum to harass, defraud, or otherwise harm another user.
  • Scrape, mirror, or extract content from the platform by automated means except via interfaces we explicitly provide.
  • Reverse-engineer, decompile, or attempt to circumvent any security measure.
  • Use the platform to advertise, solicit, or transact for any purpose other than the matching of locum and employer work in the sectors we support.
  • Upload documents containing material you do not have the right to share, or that you know to be false or forged.

7. Your content

You retain ownership of the content you upload (your profile, documents, photos, applications, messages, invoices). You grant us a worldwide, non-exclusive, royalty-free licence to host, transmit, display, and process that content only as necessary to operate the platform on your behalf — for example, to deliver an invoice you have generated to the employer you have selected, or to share a document you have explicitly chosen to share with an employer.

We do not sell your content. We do not use your content to train external models.

8. Verification

Locations may be verified through an admin-assisted work-email confirmation flow. A verification badge indicates that we have, at some point, confirmed that a person controlling the work-email address associated with the location is willing to assert that the location is real and that we have a contact path. It is not a guarantee of the location's licensing status, employment practices, financial stability, or compliance with any law.

We do not verify locums. The absence of a “verified” status on a locum is not a defect of the locum.

9. Disclaimers

To the maximum extent permitted by law:

  • The platform is provided “as is” and “as available”.
  • We do not warrant that the platform will be uninterrupted, error-free, or free of vulnerabilities.
  • We do not warrant the accuracy, completeness, or quality of information that users submit (including profiles, registration numbers, location details, or shift descriptions).
  • We do not guarantee that any locum will find work or that any employer will find a suitable locum.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the New Zealand Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other consumer-protection law. Where these statutes apply to you in a business context and the statute allows contracting out, you and we agree that those statutes do not apply to your use of the platform.

10. Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profit, revenue, business, goodwill, data, or anticipated savings, however arising, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the platform in any 12-month period will not exceed the greater of (a) the total fees paid by you to us in that 12-month period and (b) NZ$200.

11. Indemnification

You agree to indemnify, defend, and hold harmless ARISDY LIMITED, its directors, officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms.
  • Your content uploaded to the platform.
  • Your interactions with other users, including (but not limited to) any work, payment, or dispute between you and a counterparty on the platform.

12. Termination

You may close your account at any time via /employee/you/delete (locums) or /employer/settings/danger (employer owners). On account closure your accessible data is removed within the retention windows described in our Privacy Policy. Records we are required to retain by law (including invoices and the immutable audit log) are preserved in redacted form.

We may suspend or terminate your account if we reasonably believe you have breached these Terms, that we are required by law to do so, or that your continued use of the platform poses a risk to other users. Where practicable we will give notice; we may act without notice if the issue is urgent.

13. Privacy

Our handling of personal information is described in our Privacy Policy. Your use of the platform is also subject to that policy.

14. Changes to these Terms

We may amend these Terms from time to time. Material changes will be notified to you by email and posted to this page with an updated “Last updated” date at least 14 days before they take effect. Your continued use of the platform after a change takes effect constitutes your acceptance of the amended Terms. If you do not accept a change, your remedy is to stop using the platform and close your account.

15. Governing law

These Terms are governed by the laws of New Zealand. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the New Zealand courts.
